HERMES PMS — Terms of Service
Provider: Bizr Single-Member P.C., trading as hermespms, registered office in Athens, Greece, AFM TBD.
Customer: the business entity that registers a tenant on HERMES PMS through hermespms.com.
1. Acceptance
By completing the signup form on hermespms.com and ticking the legal-acceptance checkbox, you enter into this agreement on behalf of the Customer entity named on the form. You warrant that you have the authority to bind that entity. The acceptance is logged with timestamp, IP address, and user agent.
If you do not accept these Terms, do not complete signup.
2. The Service
HERMES PMS lets a Greek independent hotelier (1–10 rooms typical, larger possible) accept direct bookings, sync inventory with OTAs through Channex, issue AADE/myDATA-compliant invoices through Elorus, host per-tenant mailboxes and calendars, and use AI-assisted drafting for guest communications.
Bizr will use commercially reasonable efforts to provide the Service. Bizr does not warrant uninterrupted or error-free operation; for the planned reliability posture see the Disaster Recovery Plan in the docs binder (RPO 24 h, RTO 8 h).
3. Plans, fees, and free trial
- HERMES offers two plans (HERMES Starter and HERMES Pro) at the prices published on
hermespms.comat the time of signup. Pricing is per-property per month, in EUR. - Every new Customer receives a 14-day free trial. Card details may be added at signup or later; no charge is made until the trial period expires.
- Billing is monthly in advance via Stripe Checkout. The Customer authorises Bizr to charge the registered payment method on the renewal date. Failed payments trigger Stripe’s standard dunning. After 3 consecutive failed attempts the tenant moves to
SUSPENDED(read-only). - Prices may change with 30 days’ notice by email to the Customer’s billing address. The Customer may terminate before the new price takes effect (see §6).
- All prices exclude VAT. Greek VAT is added where applicable.
4. Acceptable use
The Customer may use HERMES only for its own bona-fide hotel-business purposes and must not:
- attempt to circumvent rate limits, security controls, or tenant-isolation boundaries;
- upload malware, illegal content, or content that infringes a third party’s rights;
- use HERMES to send unsolicited commercial mail or to harass guests;
- use HERMES to process special-category data (GDPR Art. 9) or criminal-conviction data (Art. 10) without prior written consent from Bizr;
- reverse-engineer the HERMES service except to the extent required by applicable law;
- resell or sublicense HERMES to a third party without Bizr’s prior written consent.
Bizr may suspend access immediately on a credible report that the Customer is violating §4. We will give written notice and an opportunity to cure where reasonable.
5. Data and privacy
The processing of personal data through HERMES is governed by our Privacy Policy (which applies to Bizr as controller of visitor / Customer data) and our Data Processing Addendum (which applies to Bizr as processor of the Customer’s guest data). The Customer must comply with its own controller obligations under GDPR.

6. Term and termination
- The agreement starts when you accept these Terms and continues month-to-month until terminated.
- The Customer may terminate at any time from the Billing → Manage billing action; termination is effective at the end of the current paid period (or immediately during trial).
- Bizr may terminate for material breach (including non-payment after dunning) on 14 days’ written notice, or immediately for §4 violation.
- On termination: the Customer has 30 days to export all data via the HERMES export endpoint; after that, Bizr deletes production copies within 30 days, subject to backup-rotation (35 days) and any legal-retention obligations.
7. Customer warranties
The Customer warrants that:
- it is a legal entity validly existing under Greek law (or the law of an EEA / UK member state for non-Greek pilots);
- the AFM, ΔΟΥ, and GEMI numbers (when provided) are accurate;
- it has all rights necessary to upload its content (hotel name, photos, descriptions) and the guest data it processes through HERMES;
- it has communicated to its guests, via its own Privacy Notice, the involvement of HERMES as its processor.
8. Service-provider warranties
Bizr warrants that the Service will be provided with the level of care expected of a reasonable, competent SaaS provider in the Greek hospitality-software market. Specifically, Bizr will:
- maintain the security controls described in our Information Security Policy;
- notify the Customer of a personal data breach affecting the Customer’s data within 72 h (DPA §8);
- give 14 days’ notice before adding a new sub-processor;
- preserve historical OTA traffic in
ota_audit_logsfor 90 days for audit purposes.
Bizr does not warrant:
- that HERMES will be available at any specific uptime percentage (no SLA is offered at this point);
- that bugs are absent — Bizr will fix bugs in good faith but does not guarantee a fix timeline beyond the SEV1 obligations in the Incident Response Plan;
- the conduct or solvency of any sub-processor (we contractually rely on theirs).
9. Liability
To the maximum extent permitted by Greek law:
- Bizr’s aggregate liability under this agreement is capped at the fees paid by the Customer in the 12 months preceding the event giving rise to the claim;
- Bizr is not liable for indirect, consequential, special, or punitive damages (lost profits, lost bookings, reputational harm);
- nothing in this clause limits liability for gross negligence, wilful misconduct, fraud, or any liability that cannot be excluded under mandatory Greek consumer-protection or data-protection law.
10. Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including (without limitation) natural disasters, war, terrorism, civil unrest, labour disputes, internet-backbone or upstream-provider outages, governmental orders, or pandemics. The affected party will use reasonable efforts to mitigate.
11. Governing law and disputes
This agreement is governed by the laws of Greece. The parties submit to the exclusive jurisdiction of the courts of Athens.
12. Changes to these Terms
Bizr may amend these Terms with 30 days’ written notice by email to the Customer’s billing address. Continued use after the effective date constitutes acceptance. The Customer may terminate before the new Terms take effect (§6).
13. Miscellaneous
- Assignment. The Customer may not assign this agreement without Bizr’s prior written consent. Bizr may assign to a successor in a merger or sale of substantially all assets.
- Entire agreement. This agreement (including the DPA, Privacy Policy, and Sub-processor list incorporated by reference) is the entire agreement between the parties.
- Severability. If any clause is held unenforceable, the remainder remains in effect.
- Notices. Notices to Bizr go to
